1. Digital Products and Scope

1.1. Description of Products:

Arc Knight Tech sells AI Automations in the form of digital blueprints designed for import into and use with Make.com (the "Digital Blueprints"). These blueprints are provided as digital files for the Customer's use.

1.2. Purpose of Use:

The Digital Blueprints are intended for the Customer's own personal or internal business operations. Customers are also permitted to resell the Digital Blueprints directly to their own end clients for a price of $25 USD or more per blueprint, subject to the restrictions outlined in Section 4. This permission does not constitute a general reseller agreement or allow for redistribution for further resale.

2. No Refunds; Final Sale

2.1. All Sales Final:

Due to the digital nature of the Digital Blueprints, all sales are final. Arc Knight Tech does not offer refunds, returns, or exchanges for any reason, including but not limited to, dissatisfaction with the product, technical issues on the Customer's end, incompatibility with the Customer's existing systems, or changes in the Customer's requirements or circumstances.

2.2. Acknowledgement:

By completing a purchase, the Customer acknowledges and expressly agrees to this no-refund policy.

3. Grant of License

3.1.

Arc Knight Tech grants the Customer a non-exclusive, non-transferable, revocable license to use the purchased Digital Blueprint(s) for their own personal or internal business operations. This license permits the Customer to import the blueprints into Make.com and utilize them as intended.

4. Restrictions

4.1.

The Customer is strictly prohibited from reselling, licensing, sublicensing, distributing, sharing, publicly displaying, or otherwise transferring the Digital Blueprints, in whole or in part, to any third party for the purpose of further resale or redistribution by that third party, or below the minimum price specified herein. Exception: Customers are permitted to resell the Digital Blueprints directly to their own end clients for a price of $25 USD or more per blueprint, provided the blueprints are integrated into the client's own Make.com instance or internal business operations. The Customer may not sell the blueprints to other resellers.

4.2.

The Customer may not distribute the Digital Blueprints free of charge, or claim authorship or ownership of the Digital Blueprints or any accompanying instructional materials provided by Arc Knight Tech.

4.3.

The Customer may not use Arc Knight Tech's branding, trademarks, logos, or any other proprietary elements in connection with any products or services other than those explicitly provided by Arc Knight Tech, without prior written consent.

5. Modifications

5.1.

The Customer is permitted to modify the Digital Blueprints to suit their own internal requirements. However, any modified versions may not be distributed or resold to third parties, except as permitted under Section 1.2 and 4.1.

5.2.

The Customer is not permitted to alter, modify, or redistribute Arc Knight Tech's original instructional materials, documentation, or explanatory videos.

6. Attribution

6.1.

No credit or attribution to Arc Knight Tech is required for the internal use or resale to end clients of the Digital Blueprints. However, the Customer may not claim authorship or ownership of the original Digital Blueprints.

7. Updates and Support

7.1.

Arc Knight Tech endeavors to provide high-quality Digital Blueprints. However, Arc Knight Tech is not obligated to provide ongoing updates, bug fixes, or dedicated technical support for purchased Digital Blueprints.

7.2.

Any updates, enhancements, or support, if provided, are at the sole discretion of Arc Knight Tech and may be subject to additional terms or fees.

7.3.

Arc Knight Tech is not responsible for assisting the Customer with issues related to the Make.com platform itself, or any specific implementation challenges or technical problems arising from the Customer's unique environment or modifications to the blueprints.

8. Limitation of Liability

8.1.

Arc Knight Tech shall not be held liable for any direct, indirect, incidental, special, consequential, or punitive damages, losses, or legal disputes arising from the purchase, use, or inability to use the Digital Blueprints, or from any reliance on the information or functionality provided. This includes, but is not limited to, loss of data, loss of profits, business interruption, or any other commercial damages or losses.

8.2.

The Customer assumes full responsibility and all risks for their use of the Digital Blueprints and any consequences thereof, including ensuring the blueprints meet their specific needs, comply with all applicable laws and regulations, and are implemented in a secure and appropriate manner.

9. Termination

9.1.

Arc Knight Tech reserves the right to terminate this Agreement and the Customer's license to use the Digital Blueprints immediately in the event of a breach of these terms by the Customer, including but not limited to, unauthorized distribution or resale of the Digital Blueprints.

9.2.

Upon termination, the Customer must immediately cease all use of the Digital Blueprints and destroy any copies in their possession.

10. Governing Law

10.1.

This Agreement shall be governed by, and construed in accordance with, the laws of Ontario, Canada, without regard to its conflict of law principles. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

11. Acknowledgment

By purchasing, accessing, or using any Digital Blueprint from Arc Knight Tech, the Customer acknowledges that they have read, understood, and agree to be bound by the terms and conditions outlined in this Agreement.
